1. Agreement to Terms
By accessing or using the Solith website (solith.dev) and engaging our services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our website or services.
2. Services
Solith provides web development, design, and related digital services as described on our website and in individual project proposals. Specific deliverables, timelines, and pricing are defined in separate project agreements signed before work begins. All project work is governed by the terms in the signed agreement, which takes precedence over these general terms in case of conflict.
3. Intellectual Property
Upon full payment, you receive complete ownership of all custom code, design files, and content created specifically for your project. This includes:
- Source code written for your project
- Custom design files and assets
- Project documentation
Solith retains the right to use project screenshots and general descriptions in our portfolio and marketing materials unless otherwise specified in writing. Open-source components and third-party libraries remain under their respective licenses.
4. Payment Terms
Payment schedules are defined in individual project agreements. Standard terms include a 50% deposit before work begins, with the remaining 50% due upon project completion. Late payments may incur a 1.5% monthly interest charge. Solith reserves the right to pause work on projects with outstanding invoices exceeding 30 days.
5. Project Timelines
Estimated timelines are provided in good faith based on the agreed scope. Delays caused by late client feedback, scope changes, or third-party dependencies may extend the timeline. We will communicate any anticipated delays promptly and work to minimize their impact.
6. Revisions
Each pricing tier includes a defined number of revision rounds. Revisions beyond the included rounds are billed at our standard hourly rate. Revision requests must be submitted in writing (email or project management tool) with clear, actionable feedback.
7. Limitation of Liability
Solith's total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project in question. We are not liable for indirect, incidental, or consequential damages including lost profits, data loss, or business interruption.
8. Termination
Either party may terminate a project agreement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed to date. Solith will deliver all completed work and source files upon receipt of final payment.
9. Governing Law
These terms are governed by the laws of the State of California, United States. Any disputes shall be resolved through binding arbitration in San Francisco, CA.
